Terms of Service

These Terms of Service ("Terms") govern your access to and use of the Meshanics platform, websites, console, APIs, agent software, and related services (together, the "Service"), operated by Meshanics ("Meshanics", "we", "us"). By creating an account, installing the agent, or otherwise using the Service, you agree to these Terms. If you are using the Service on behalf of an organization, you confirm you have authority to bind that organization.

The Service

Meshanics provides zero-trust over-the-air update and fleet-management infrastructure for industrial and edge-AI devices: signed delivery of containers, ML models, and configs; canary rollouts with health-probe-driven automatic rollback; continuous vulnerability watch; and compliance evidence.

We are honest about what this is. Meshanics is not "agentless": a small signed agent on each device makes verified updates and automatic rollback possible. What you get is zero integration for your own code - your application and model code ship unchanged, inside signed artifacts, on top of our rollback-safe delivery layer.

Accounts and eligibility

You must provide accurate registration details and keep them current. You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly at hello@meshanics.com of any unauthorized use. You must be able to form a binding contract to use the Service.

Plans, fees, and billing

The Service includes a free tier (currently up to five devices) and paid plans priced per device, as described at meshanics.com/pricing. Paid plans are invoiced; fees are due as stated on the invoice and are exclusive of taxes, which you are responsible for. We may change pricing on a prospective basis with reasonable notice; changes do not affect the current paid term already invoiced. Late or unpaid amounts may lead to suspension of paid features after notice.

Acceptable use

You agree not to:

  • use the Service in violation of any law, regulation, or third-party right;
  • attempt to gain unauthorized access to the Service, other tenants, or any systems or data;
  • circumvent device limits, security controls, signing or verification, or tenant isolation;
  • interfere with or disrupt the integrity or performance of the Service;
  • reverse engineer the Service except to the extent that restriction is prohibited by applicable law;
  • use the Service to distribute malware or to deliver updates you are not authorized to deploy.

Your responsibilities

You remain responsible for what you ship to your fleet. Specifically:

  • Your content and keys. You control the artifacts you publish (containers, models, configs) and the signing keys and access scoped to your tenant. You are responsible for the legality, safety, and licensing of that content.
  • Your fleet. You are responsible for operating your devices securely, for the updates you choose to roll out, and for testing them. The Service provides safeguards such as canary waves, health probes, and automatic rollback; it does not relieve you of responsibility for your own software.
  • Compliance and export. You are responsible for complying with the laws that apply to your products and customers, including export controls and sanctions (see "Export controls").

Security and shared responsibility

We secure the platform; you secure your use of it. We implement signing, verification, mutual TLS, per-device identity, encryption of secrets at rest, and a tamper-evident audit log, among other measures. You are responsible for account hygiene, key management within your control, and the configuration choices you make. Report security issues to hello@meshanics.com (see meshanics.com/security).

Intellectual property

The Service, including all software, designs, and documentation, is and remains the property of Meshanics and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription in accordance with these Terms. You retain all rights in your content; you grant us only the limited license needed to host, process, and deliver it to operate the Service for you.

Customer data

Our handling of personal data is described in our Privacy Policy. Device and fleet metadata processed on your behalf is governed by our Data Processing Agreement, available to customers on request. We do not access the contents of your artifacts or the data your devices process.

Third-party services

The Service can connect to third-party systems you choose, such as container registries and notification endpoints. Your use of those systems is governed by their own terms, and we are not responsible for them.

Availability, beta features, and changes

We work to keep the Service available but do not guarantee uninterrupted operation, and the free tier is provided without a service-level commitment. Features marked beta or preview are provided as-is and may change or be withdrawn. We may modify or discontinue parts of the Service with reasonable notice where practical.

Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be error-free or that any update, rollback, or safeguard will prevent every failure.

Limitation of liability

To the maximum extent permitted by law, neither party will be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data. Our total liability arising out of or relating to the Service will not exceed the amounts you paid us for the Service in the twelve months before the event giving rise to the claim. Nothing in these Terms limits liability that cannot be limited under applicable law.

Indemnification

You will defend and indemnify Meshanics against third-party claims arising from your content, your use of the Service in breach of these Terms, or your violation of law or third-party rights.

Term and termination

These Terms apply while you use the Service. You may stop using the Service and close your account at any time. We may suspend or terminate access if you materially breach these Terms, fail to pay, or use the Service in a way that risks harm to others, after notice where practical. On termination, your right to use the Service ends; we will make your data available for export for a reasonable period before deletion in line with our Privacy Policy.

Export controls

The Service may be subject to export-control and sanctions laws. You represent that you are not located in, and will not use the Service from, a region or by a party prohibited under those laws, and that you will not use the Service for any prohibited end use.

Changes to these Terms

We may update these Terms as the Service evolves or the law changes. We will post the revised version here and update the effective date above; material changes will be communicated through the Service or by email. Continued use after changes take effect means you accept the updated Terms.

Governing law

These Terms are governed by the laws of the jurisdiction in which Meshanics is established, without regard to conflict-of-laws rules, and the courts of that jurisdiction will have exclusive jurisdiction over any dispute, except where mandatory local law gives you other rights.
